Terms of Service

These Terms of Service ("Terms") govern your use of the website at cognetlabs.lk and of any application, product or service published by Cognet Labs (Pvt) Ltd ("Cognet Labs", "we", "us"), a private limited company incorporated in Sri Lanka under the Companies Act No. 7 of 2007, registration number PV00363614, with its registered office in the District of Colombo and its business address at 83/1, Ramya Mawatha, Kalapaluwawa, Rajagiriya 10107, Sri Lanka.

By using the website, downloading or using one of our applications, or engaging us for services, you agree to these Terms. If you do not agree, do not use them.

1. Who may use our services

You must be at least 13 years old, or the minimum age of digital consent in your country if that is higher, to use our services. If you use them on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.

2. Accounts

Where a service requires an account, you must give accurate information, keep your credentials confidential, and tell us promptly at info@cognetlabs.lk if you believe your account has been compromised. You are responsible for activity under your account. We may suspend or close an account that is used in breach of these Terms.

3. Licence to use our software

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use our applications on devices you own or control, for their intended purpose. You may not copy, sell, sublicense, rent, reverse-engineer, decompile, or attempt to derive the source code of our software, or remove any proprietary notice from it, except to the extent that applicable law expressly permits it despite this restriction.

4. Applications obtained from the Apple App Store

The following applies to any of our applications that you download from the Apple App Store (an "App Store Sourced Application"):

  • The licence granted in these Terms is limited to a non-transferable licence to use the application on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. These Terms apply in place of Apple's standard Licensed Application End User License Agreement ("Apple's standard EULA"); where they say less than Apple's standard EULA requires, the terms of Apple's standard EULA apply.
  • Cognet Labs, and not Apple, is solely responsible for the application and its content, for any maintenance and support, and for addressing any claim that the application fails to conform to a warranty or infringes a third party's intellectual property rights. Apple has no obligation whatsoever to furnish maintenance or support.
  • In the event of a failure to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the application to you; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the application.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms in relation to an App Store Sourced Application, and upon your acceptance Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

Applications obtained from Google Play are subject to the Google Play Terms of Service in the same way; Google is not responsible for the application.

5. Purchases, subscriptions and refunds

Where an application is sold through the Apple App Store or Google Play, the purchase is made with that store and is governed by its terms. Subscriptions renew automatically unless cancelled in the store before the end of the current period, and are managed in your store account settings. Refunds for store purchases are handled by the store, which for Apple means reportaproblem.apple.com, and are decided under its policies. Fees we invoice directly are payable on the terms of the relevant order or statement of work.

6. Acceptable use

You agree not to:

  • use our services to break the law, or to infringe anyone's rights;
  • upload malware, or interfere with, overload or attempt to gain unauthorised access to our systems;
  • use the services to generate or distribute unlawful, harassing, deceptive or harmful content;
  • scrape, resell or redistribute the services or their output as a competing product;
  • circumvent any usage limit, security measure or access control.

7. Your content

You keep ownership of the content you submit. You grant us a limited licence to host, process, transmit and display it only to the extent needed to operate the service for you, to keep it secure, and to comply with the law. You are responsible for having the rights to the content you submit.

8. AI-generated output

Some of our products generate output using artificial intelligence. Such output may be inaccurate, incomplete or unsuitable for your purpose, may resemble output produced for other users, and is not professional, legal, medical or financial advice. You are responsible for reviewing it before relying on or publishing it.

9. Professional services

Consulting, development, staffing and training engagements are governed by a separate written agreement or statement of work, which prevails over these Terms in the event of a conflict. Unless that agreement says otherwise, intellectual property in deliverables transfers to the client on payment in full, and we retain ownership of our pre-existing materials, tools and know-how.

10. Intellectual property

The website, our applications, and the Cognet Labs name, logo and brand are owned by Cognet Labs (Pvt) Ltd and protected by intellectual property law. Nothing in these Terms transfers any right in them to you other than the licence expressly granted above.

11. Third-party services

Our services may link to or depend on services operated by others. We are not responsible for those services, and your use of them is governed by their own terms.

12. Availability and changes

We aim to keep our services available but do not guarantee uninterrupted operation. We may modify, suspend or discontinue a feature or an entire service. Where a change materially reduces a paid service, we will give reasonable notice and, where appropriate, a pro-rata refund of prepaid fees for the unused period.

13. Disclaimer

To the maximum extent permitted by law, our services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes any right you have under mandatory consumer protection law.

14. Limitation of liability

To the maximum extent permitted by law, Cognet Labs is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the services is limited to the greater of the amount you paid us for the service in the twelve months before the event giving rise to the claim, or USD 100.

15. Indemnity

You agree to indemnify Cognet Labs against claims, losses and reasonable costs arising from your breach of these Terms, your content, or your unlawful use of the services.

16. Termination

You may stop using the services at any time and may ask us to delete your account as described in our Privacy Policy. We may suspend or terminate access if you materially breach these Terms, if required by law, or if continuing would expose us or other users to risk. Sections that by their nature should survive termination do survive it, including intellectual property, disclaimers, limitation of liability, indemnity and governing law.

17. Governing law and disputes

These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. The courts of Colombo have exclusive jurisdiction over any dispute arising out of or relating to them, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information. If you are a consumer, this does not deprive you of the protection of the mandatory law of your country of residence.

18. Changes to these Terms

We may update these Terms. The "last updated" date at the top of this page always reflects the current version, and material changes will be notified in the product or by email before they take effect. Continuing to use the services after a change takes effect means you accept the updated Terms.
